A Gleiss Lutz team has advised the listed SYNLAB AG (SYNLAB International) in connection with its delisting from the regulated market of the Frankfurt Stock Exchange as well as in connection with the public delisting acquisition offer by Cinven. The delisting became effective on 12 July 2024 with the expiry of the acceptance period of the delisting acquisition offer. Currently preparing our trend report for corporate partners and alumni startups and found a very interesting, really remarkable statistic from BVK Bundesverband Beteiligungskapital. According to this, 80% of the funds raised in the (German) #venturecapital and #privateequity industry in 2023 came from the public sector (e.g. European Investment Fund (EIF), KfW Capital , Sächsische Aufbaubank - Förderbank - or NRW.BANK etc.). Remarkable in an industry that sees itself at the core of capitalism and the free market economy. So I took a closer look: - the investment volume of the public sector was even >20% down from 2022 and on the level of previous years - so it was no intented takeover by the public sector 😉 and not a result of overarching political initiatives - the true reason (at least according to BVK) is that corporates invested only 1% of the year before. Considering the current pessimism, often bad statistical economic data and uncertainty of markets, this seams very reasonable. It shows that an economic downturn has substantial, not obvious side-effects only visibile in long-term - also Family Offices, banks and institutional fund of funds invested significantly less than in the last 7 years - what is threatening as well is that neither insurances nor pension funds are even visible investors according to this statistics. Although these both would be the highest leverage for the whole PE/VC industry and although politicians want to give them more incentives for years now. Actually, I hope there is also some effect that not all data for 2023 is available yet and there will be some more positive updates in that charts. Attila Dahmann would you expect any changes ? SCHMID GmbH and listing of the new parent company SCHMID Group N.V. on the Nasdaq Stock Exchange. Under the motto "Artificial intelligence – implement it safely, finance it wisely, use it sensibly", lectures, discussion rounds and discussions revolved around this future topic. This year's private equity conference has shown that the topic of AI is moving and will trigger another digital transformation. This must be financed. Whether with funding, equity financing or tailor-made advice – the NRW Innovation Bank is a strong partner for NRW in the digital transformation. Thomas Neubert moderated the VC Panel titled “How do start-ups invest their growth in this global competitive market?” joint by: ➡️ Claas Heise, Executive Director Venture & Seed Capital NRW.BANK ➡️ Andreas Unseld, Partner bei UVC Partners ➡️ Sebastian-Friedrich Kowitz, CEO talpasolutions GmbH ➡️ Ulrike Hinrichs, Vorstand BVK Bundesverband Beteiligungskapital We explored a few relevant questions and agreed that there is a lot of positive energy in the eco-system but German still has a lot to do to take leadership in vertical segments close to its values and unique competence. Voluntary work is the necessary cement of our society. But there is also voluntary work or commitment at a professional level that does not primarily pursue economic interests. Today I was able to witness one of these manifestations of commitment in my sector of market research: The regular elections of the Federal Executive Board and other bodies of BVM Berufsverband Deutscher Markt- und Sozialforscher e.V. were on the agenda. It's great to see how we as market research professionals work together in a competitive environment, regardless of the competition, to make our industry fit for the future. Our exciting exchange also focussed on membership figures and forms of involvement. And it shows that we all have a responsibility in the industry to support such institutions. Everyone as they can. That is why I would like to encourage my network today to get involved, whether actively and creatively. Or as a member or simply by ancouraging fellow research colleagues to join or spread the word . It is worthwhile and enriching. Another exciting co-production with my colleagues Dr. Florian Reiling, MBA and Dr. Susanne Holotiuk, this time published in the October issue of the renown trade journal #PharmaRecht and discussing compulsory licenses and their impact on existing pharma license agreements. Of course, a "must-read"! The topic of compulsory licenses is critical to me as I still believe that there is no compelling evidence for justifying the introduction of a new compulsory licensing mechanism. As many others, I am concerned that the proposed mechanism might lead to a potential loss of foreign direct investment and reduced incentives to innovate. Even with the modifications proposed by the EU Council (https://lnkd.in/esNj4NXK), the text of the draft regulation provides for significant uncertainties, including uncertainties regarding the role and the rights of existing licensees who made significant investments to secure exclusive rights to a technology, and, as a result of a compulsory license granted to a third party, lose such exclusivity. However, in view of the advanced EU legislation activities with respect to a regulation on compulsory licensing for crisis management, it is time to get prepared. When drafting and negotiating #licenseagreements, potential risks resulting from such regulation need to be properly addressed and minimized.
